Windy Hollows Investment Vehicle

The Company is currently an investment vehicle, whose primary strategy is, but shall not be limited to, the acquisition of an established, trading business in the digital media and ad tech sectors that requires further funding for expansion. The Company’s directors (the “Directors”) seek to combine their general management and sector-specific experience to aid in their selection and evaluation of an appropriate target acquisition company or group of companies.

 

Subsequent to acquiring a controlling interest in a suitable business, the Directors believe they can deliver substantial value through their ability to raise funds, drive and direct strategic outcomes, and leverage their considerable network of industry contacts. The Director’s efforts in identifying opportunities will not be limited to a particular industry or geographic location. However, given the collective experience of the Directors, the Company will focus initially on opportunities in the digital media and ad tech sectors, valued at more than £30 million, revenue generating and operating in the UK and/or Western Europe.

Hugo John de Salis, Non-Executive Director and Chairman (aged 51)

Hugo de Salis specialises in assisting growth companies in business structure, corporate advice, strategy formulation and implementation, new business generation and IR/PR initiatives.

Mr de Salis started his career at the Unit and Investment Trust sales desk at Schroder Unit Trusts Ltd, before moving to JP Morgan Investment Management where he became an assistant fund manager on the Japanese Equities desk. During this time, he gained a Securities and Future Authority (SFA) registered representative qualification, an Investment Management Certificate and the Series 3 Future and Options qualification.

Subsequently, Mr de Salis joined the Financial Public Relations firm Square Mile Weber Shandwick, before setting up his own AIM-focussed Investor Relations and Public Relations company, St Brides Partners Ltd (SBP) in 2001, which he grew to a team of 16 representing over 40 annually retained companies across multiple sectors. Having supported +50 IPOs and multiple M&A transactions, he has garnered an extensive network in the financial, legal, and media sectors, specifically those active within the growth company arena.

Contiguously to SBP, Mr de Salis established Ragnar Capital LLP, an FCA-regulated corporate finance boutique, which specialises in advisory and raising capital for high growth companies, both in the public and private arenas. Since selling his stake in SBP in 2019 and a majority interest in Ragnar Capital (he retains a 20% stake), Mr de Salis has focussed on providing consultancy services to private and publicly listed companies through his business, Lepanto Consultancy Ltd.

Mr de Salis graduated from Manchester University with a BA Honours degree in History in 1993.

Anthony Neville Chisholm Eastman, Non-Executive Director (aged 48)

Mr Eastman is a member of the CAANZ and ICAEW and a current Partner at Orana Corporate LLP. Mr Eastman has a number of years’ experience in financial management and corporate advisory services, primarily in the natural resources sector, along with extensive experience in the public company environment, having been a director and company secretary of a number of ASX and AIM junior mining and oil & gas focused companies.

He currently serves as a Non-Executive Director of two other Main Market companies, namely Critical Metals plc and East Star Resources plc. Mr Eastman has previously worked with Ernst & Young and CalEnergy Gas ltd, a subsidiary of the Berkshire Hathaway Group of Companies in both Australia and the United Kingdom.

Georgia Rose Indigo Tatnall, Executive Director (aged 26)

Ms Tatnall’s work currently focuses on public and investor relations for investment companies, as well as companies involved in natural resource extraction. By planning effective strategies for how these businesses propel their message and image through social media, and monitoring and iterating these strategies against daily social media data, Ms Tatnall has helped companies underpin their growth aims with effective, consistent and relevant media messaging.

Ms Tatnall trained in public relations, strategic management and digital marketing. As the digital media space is dynamically evolving due to advances in technology and increasingly sophisticated marketing methodology, Miss Tatnall has kept at the forefront of these advances through her own personal influencer account.

Ms Tatnall graduated from Portsmouth University in 2019 with a degree in Business Management. She is currently the Social Media Consultant at the London-based public and investor relations firm St Brides Partners Limited.

ProgressThe Company intends to acquire a controlling interest in a trading and revenue generating private company, SPV, joint venture, partnership, or similar business organisation. There is currently no strategic geographical bias, but the Directors are likely to focus first on the UK and Western Europe. Suitable targets will likely be offered managerial control via a controlling interest in the Company. In the event of an acquisition resulting in a Reverse Takeover, the Directors intend to apply for the Company’s ordinary shares, as enlarged, to be readmitted to the Standard List and to trading on the London Stock Exchange’s Main Market for listed securities, or another stock exchange if this is more appropriate to the target acquisition.

Broadly speaking, Directors will evaluate prospective acquisition targets with solid commercial potential, and with as low a risk to shareholders as reasonably possible. The Directors will assess each prospective target’s business plan to ascertain whether they have realistic milestones that are likely to create growth translatable to capital appreciation for the Company’s Shareholders.

Corporate Governance Code

As a company with a Standard Listing, the Company is not required to comply with the provisions of the UK Corporate Governance Code. However, in the interests of observing best practice on corporate governance, the Company intends to comply with the provisions of the QCA Guidelines on Corporate Governance insofar as is appropriate having regard to the size and nature of the Company and the size and composition of the Board. Given the small size of the Company and the composition of the Company’s Board, the Company’s corporate governance departs substantially from that of a typical listed company that adheres to the QCA Guidelines by dispensing with the following requirements: (i) the formal developments and publication of Key Performance Indicators (“KPIs”) that are relevant to the business and (ii) the adoption of an appropriate Corporate & Social Responsibility (“CSR”) policy. If and when the Company grows in size and/or complexity, the Board will consider aligning itself more closely with the QCA Guidelines on Corporate Governance.

Takeover Code

The Company is subject to the city code on takeovers and mergers, as published by the panel on takeovers and mergers and updated from time to time.
